1. About APX
APX is a private intelligence, listings and professional connections platform serving HNW and UHNW individuals, family offices, advisers, professional firms, asset owners, operators and specialist businesses.
APX may provide:
- editorial and market intelligence;
- personalised member content;
- listings and opportunities;
- advertising and promotional placements;
- Partner Insights and sponsored editorial;
- membership services;
- introductions between members, partners and third parties; and
- other related services introduced from time to time.
Availability of individual services may vary.
2. Membership and accounts
Certain areas of APX are available only to registered or verified members.
You must provide accurate, current and complete information when registering and must keep your account details secure.
APX may accept, reject, suspend or terminate membership where reasonably necessary to protect the integrity, security or lawful operation of the platform.
Where enhanced membership or access requires identity, professional, business, compliance or other verification, access may remain conditional until those checks have been completed to APX's satisfaction.
Membership does not create any partnership, agency, fiduciary relationship or entitlement to any particular opportunity, introduction or transaction.
3. Information, intelligence and professional advice
Content published on APX is provided for general information and intelligence purposes only unless expressly stated otherwise.
Nothing on APX constitutes personal financial, investment, legal, tax, accounting or other regulated professional advice.
Users should obtain appropriate independent professional advice before acting upon information appearing on the platform.
APX does not warrant that any investment, asset, opportunity, valuation, projection, market commentary or third-party statement will prove accurate or produce any particular financial or commercial result.
4. Listings, opportunities and introductions
Listings and opportunities may be submitted by third-party businesses, owners, agents, advisers or other APX partners.
Unless expressly stated otherwise, APX is not the seller, buyer, broker, investment adviser, financial adviser, estate agent or contracting party in relation to a transaction displayed or introduced through APX.
Users are responsible for carrying out their own legal, financial, commercial, technical and other due diligence before entering into any transaction.
An introduction made through APX is an introduction only. APX does not guarantee:
- the conduct or financial standing of either party;
- that a transaction will proceed;
- that information subsequently supplied by either party will be accurate;
- the value or condition of any asset;
- investment performance; or
- the outcome of negotiations.
5. Commercial Partner Services
APX may offer businesses and professional partners paid services including Partner Insights, sponsored editorial, listings, premium advertising, profile placements and other promotional services.
Unless expressly agreed otherwise, these services are supplied on a business-to-business basis to customers acting in the course of their trade, business or profession.
Specific pricing, publication periods, deliverables and other campaign details may be contained in a proposal, order confirmation, invoice or written agreement ("Order").
If there is any conflict between an Order and these Terms, the specific commercial terms in the Order will take precedence for that service.
6. Partner Insights and sponsored editorial
Partner Insights and other sponsored content remain subject to APX editorial standards.
APX may edit content for grammar, style, presentation, length, SEO, regulatory compliance, accuracy, clarity and consistency with the APX platform.
Sponsored or commercial material may be identified using labels including Partner Insight, Partner Content, Sponsored, Advertisement or similar wording.
Payment does not give the advertiser or partner an unrestricted right to publish material on APX. APX reserves editorial control over the platform.
7. Publication periods
Where an Order specifies that an article, listing, advertisement or other content is to be published for a stated period, the period begins on the date the content first becomes publicly available or otherwise goes live on APX unless the Order states otherwise.
A stated publication period is subject to these Terms and does not constitute an unconditional guarantee of continuous or uninterrupted availability.
APX may temporarily interrupt or restrict access because of maintenance, security, technical issues, legal obligations, regulatory requirements, third-party service failure or circumstances outside APX's reasonable control.
8. Fees and payment
Unless an Order states otherwise, commercial fees are payable in advance.
Prices exclude VAT or other applicable taxes unless expressly stated otherwise.
APX may use third-party payment providers to process payments. APX does not normally receive or store complete payment-card details where these are processed directly by the payment provider.
A commercial fee may cover several elements of a service, including research, planning, editorial work, copy preparation, design, administration, platform configuration, account management, publication and promotional placement. It should not be regarded solely as payment for website hosting time unless the Order expressly says otherwise.
9. Cancellation and refunds
Unless an Order provides different cancellation terms:
Before work begins
If APX agrees to cancel an Order before substantive editorial, design, administration or production work has begun, APX may refund sums paid, less any non-recoverable third-party costs.
After work has begun
Once APX has begun editorial, creative, technical, administrative or production work, APX may retain the portion of the fee reasonably attributable to work already completed and costs already incurred.
After publication
Once sponsored content, a listing, advertisement or other commissioned placement has first gone live, the relevant fee is treated as earned and is non-refundable, except where applicable law requires otherwise.
Publication fees are not dependent upon the number of page views, enquiries, introductions, leads, transactions or other commercial results generated.
10. Removal, suspension or rejection of content
APX may reject, suspend, edit, restrict or remove content where APX reasonably considers that the material:
- breaches these Terms;
- is unlawful or potentially unlawful;
- is inaccurate, materially misleading or cannot reasonably be substantiated;
- infringes or may infringe intellectual property, privacy or other third-party rights;
- may be defamatory;
- constitutes or may constitute an unlawful or non-compliant financial promotion;
- breaches advertising, sanctions, financial services or other regulatory requirements;
- contains malicious software or creates a security risk;
- could expose APX, its users or another person to legal or regulatory risk;
- is inconsistent with APX editorial standards;
- materially changes after approval;
- becomes outdated or misleading because circumstances have changed; or
- is reasonably considered damaging to the integrity or operation of APX.
APX may temporarily remove content while investigating a complaint, legal notification, regulatory concern or credible third-party challenge. Removal while a matter is investigated does not constitute an admission by APX that the complaint is valid.
11. Removal and refunds
Where content is rejected, suspended or removed because of:
- information supplied by the customer;
- the customer's conduct;
- breach of these Terms;
- inability to substantiate a claim;
- intellectual property or other third-party rights concerns;
- a legal or regulatory issue arising from the customer's business, product, service or content;
- an unauthorised or non-compliant financial promotion; or
- another matter reasonably attributable to the customer or submitted material,
no refund, credit or extension of the publication period will be due.
Where appropriate, APX may allow the customer an opportunity to amend or replace material, but APX is not obliged to do so.
12. Third-party complaints
Any person may bring potentially unlawful, misleading, defamatory, infringing or otherwise problematic material to APX's attention.
APX may temporarily suspend the relevant content while investigating. APX will determine, acting reasonably, whether the content should be restored, amended or permanently removed.
If a complaint is resolved satisfactorily, APX may restore the content and may, at its discretion, extend the publication period to reflect a material period of suspension.
APX is not required to continue publishing material merely because it has previously been approved.
13. Closure or alteration of the APX platform
APX may change, restructure, replace or discontinue features, sections or services where reasonably necessary for commercial, technical, security, legal or operational reasons.
Where a commissioned article or other piece of sponsored content has already been produced and first published, the applicable fee will normally be regarded as earned because it covers the commissioned editorial, production, administration and publication service and not solely the remaining duration of web hosting.
Accordingly, the permanent discontinuation, restructuring or closure of APX or a relevant section of the platform does not automatically create an entitlement to a pro-rata refund for the remaining stated publication period.
Where appropriate, APX may at its discretion offer an alternative placement, service credit, publication through another APX channel or another reasonable remedy. Nothing in this section excludes any right or remedy which cannot lawfully be excluded.
14. Advertiser and contributor responsibilities
Anyone supplying content to APX warrants that:
- they have authority to submit and authorise publication of the material;
- information supplied is materially accurate;
- claims can be substantiated;
- required licences, consents and permissions have been obtained;
- photographs, logos, copy and other material may lawfully be used by APX;
- the content does not infringe third-party intellectual property or privacy rights;
- the material is not defamatory, fraudulent or misleading; and
- publication complies with applicable laws and regulatory requirements.
The contributor grants APX a non-exclusive, worldwide, royalty-free licence for the relevant publication period to host, reproduce, format, edit, promote and distribute the submitted material for the purposes of providing and promoting the APX service.
15. Financial promotions and regulated activity
A partner submitting material concerning investments, financial products or regulated financial services is responsible for informing APX before publication where the material is or may be a regulated financial promotion.
The partner warrants that it has obtained all approvals, authorisations, exemptions and required regulatory wording necessary for lawful publication.
APX may require documentary evidence of regulatory status or approval and may refuse or remove material where satisfactory evidence is not supplied.
Acceptance of payment or editorial review by APX does not constitute regulatory approval of a financial promotion.
16. No guaranteed results
APX does not guarantee any minimum:
- readership;
- impressions;
- clicks;
- enquiries;
- introductions;
- leads;
- sales;
- transactions;
- investment;
- revenue; or
- commercial return.
Audience descriptions, readership statistics or other platform metrics may change over time and should not be interpreted as guarantees of future performance.
17. Intellectual property
Unless otherwise stated, the APX name, branding, website design, platform, APX-produced editorial, graphics and other original APX materials are owned by or licensed to APX and are protected by applicable intellectual property laws.
No APX material may be reproduced, republished, scraped, commercially exploited or systematically extracted without prior written permission except where permitted by law.
Third-party trademarks and content remain the property of their respective owners.
18. Website availability and security
APX aims to provide a secure and reliable service but cannot guarantee that the platform will operate continuously or without error.
Access may occasionally be restricted for maintenance, upgrades, security, technical faults or circumstances outside APX's reasonable control.
Users must not attempt to compromise, reverse engineer, disrupt, scrape at scale, circumvent access controls or gain unauthorised access to APX systems or data.
19. External websites and third parties
APX may contain links to third-party websites or services. APX does not control those websites and is not responsible for their content, availability, security, privacy practices or contractual terms.
A link or introduction does not constitute endorsement unless APX expressly states otherwise.
20. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation or death or personal injury caused by negligence where such liability cannot lawfully be excluded.
Subject to the above, APX will not be liable for indirect or consequential loss, loss of opportunity, loss of anticipated profit, loss of business, loss of goodwill or losses arising from transactions entered into between users or third parties.
For commercial Partner Services, APX's total aggregate liability arising from a particular Order will, to the fullest extent permitted by law, be limited to the amount actually paid to APX under that Order during the twelve months preceding the event giving rise to the claim.
21. Indemnity for submitted commercial content
A commercial partner agrees to reimburse APX for reasonable losses, liabilities, damages and external legal costs arising directly from a third-party claim caused by material supplied by that partner which infringes another person's intellectual property or other legal rights, or from a material breach of the warranties contained in these Terms.
This section does not apply to the extent that the claim results from alterations made solely by APX without the partner's approval.
22. Termination
APX may suspend or terminate an account for a material or repeated breach of these Terms, unlawful activity, abuse of the platform, security concerns or conduct reasonably likely to harm APX or its users.
Termination of an account does not automatically create a right to a refund for services already performed or content already published.
23. Consumer rights
Certain APX services are intended for businesses and professional partners.
Where an individual purchases a service as a consumer rather than in the course of business, nothing in these Terms removes or restricts statutory consumer rights, including rights that cannot legally be waived or excluded.
Where consumer cancellation rights apply, APX will provide the information required by applicable law during the purchasing process.
24. Changes to these Terms
APX may update these Terms where reasonably required because of changes to its services, law, regulation, technology or business operations.
The latest version will be published on APX.money together with its effective date.
Material changes affecting an existing paid Order will not retrospectively alter the fundamental commercial terms of that Order unless required by law or agreed with the customer.
25. Governing law
These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales, unless applicable mandatory law requires otherwise.
The courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms, subject to any mandatory rights available to consumers.
